Inside View for qualified clients
See exactly how The Buddy System works.
The Inside View shows the real product: step-by-step tutorials, live screens, and how every Buddy works together. Because it shows our ideas and how we built them, we ask everyone to agree to a short confidentiality agreement first. It takes about a minute, and our team reviews every request personally.
Confidential Evaluation Agreement
Onit Digital, Inc. Confidential Evaluation Agreement, version 1.0
This agreement is between Onit Digital, Inc. ("Onit") and you, together with the company you name below (together, "you"). It covers the Inside View area of www.onitdigital.com and anything Onit shows you about The Buddy System or Onit's services, in any form (the "Inside View").
1. Why you get access
You may use the Inside View only to evaluate whether to do business with Onit, including licensing or buying The Buddy System or Onit's services (the "Purpose"). You may not use it for anything else.
2. What is confidential
Everything in the Inside View is Onit's confidential information and intellectual property, whether or not it is marked confidential. That includes product designs, features, workflows, screens, videos, tutorials, methods, processes, ideas, concepts, data models, prompts, roadmaps, pricing and business plans (the "Confidential Information"). Some of it may be the subject of pending patent applications or protected as trade secrets.
3. What you agree not to do
You will not, and will not help anyone else to:
- disclose or share the Confidential Information, or your access, with anyone outside your company. Inside your company, you may share it only with people who need it for the Purpose and who are bound by confidentiality duties at least as protective as these;
- copy, download, screenshot, screen-record, scrape, crawl, archive or otherwise capture the Inside View, except brief notes for your own internal evaluation;
- enter the Confidential Information into, or let it be collected by, any artificial intelligence or machine learning system, including to train, prompt or fine-tune a model;
- use the Confidential Information to design, build, improve, commission or market any product or service that competes with The Buddy System or Onit's services, or reverse engineer anything you see; or
- access the Inside View with automated tools, or on behalf of a competitor of Onit.
4. What is not covered
These duties do not apply to information that you can show (a) is or becomes public through no fault of yours, (b) you already knew lawfully before Onit shared it, (c) you received lawfully from someone else without a duty of confidentiality, or (d) you developed independently without using the Confidential Information. You may disclose information if the law or a court requires it, as long as you give Onit prompt notice where the law allows and disclose only what is required.
5. Ownership
Onit keeps all rights in the Confidential Information and The Buddy System. You receive no license or other rights except to view the Inside View for the Purpose. If you give Onit suggestions or feedback, Onit may use them freely.
6. How long this lasts
Your duties under this agreement continue for three years after your last access to the Inside View, and for trade secrets for as long as they remain trade secrets. Onit may end or limit your access at any time. If Onit asks, you will delete any notes or copies you made.
7. If this agreement is broken
A breach could cause Onit harm that money alone cannot fix, so Onit may seek an injunction or other court order in addition to any other remedy, without posting a bond where the law allows. If Onit has to enforce this agreement and wins, you will pay Onit's reasonable legal fees and costs.
8. General
Neither side has to do business with the other because of this agreement. This agreement is governed by the laws of the State of New York, and the state and federal courts in New York County, New York, have exclusive jurisdiction. If a written confidentiality or non-disclosure agreement already in force between your company and Onit gives Onit greater protection, that agreement also applies. If any part of this agreement cannot be enforced, the rest still applies.
9. Your electronic signature
By typing your name, ticking the box and selecting "I agree", you sign this agreement electronically. You confirm that the details you give are true and that you are authorized to agree for yourself and for the company you name. Onit records your name, title, company, email address, the date and time, your IP address and browser, and the version of this agreement, and emails you a copy.
